Coinbase Global has just revealed the details of a larger-than-expected offering of $1.1 billion in 0.25% Convertible Senior Notes set to mature on April 1, 2030. Interest on the notes will be paid semi-annually starting on October 1, 2024. The initial conversion rate is 2.9981 shares of Coinbase’s Class A common stock per $1,000 principal amount of notes, with an initial conversion price of around $333.54 per share. The offering size was increased from $1.0 billion to $1.1 billion, with the option for initial purchasers to buy an additional $165 million of notes within 30 days. The funds raised will go towards repaying existing notes, supporting general corporate activities, and potentially engaging in capped call transactions to mitigate dilution risks.
