The company secured a pivotal license to operate as an online gaming provider and aggregator in the Philippines, simultaneously announcing a substantial $1 billion debt refinancing initiative through its subsidiary.

Major Financial Restructuring Underway
At the core of its financial strategy, Light & Wonder International has successfully issued $1 billion in Senior Unsecured Notes. These notes carry an interest rate of 6.25% and are set to mature in 2033. S&P Global Ratings has assigned a “B+” rating to this new issuance, indicating their view of a moderate recovery expectation in the event of a default.
Proceeds from this offering are designated primarily for clearing all outstanding obligations under the company’s revolving credit facility and repaying existing $700 million notes that are due in 2028. This strategic refinancing significantly enhances the company’s debt maturity profile and creates additional financial flexibility for general corporate purposes, which may include potential share repurchases.

The Philippine market has demonstrated extraordinary growth, with revenues from licensed eGames operators surging by an impressive 165% throughout fiscal 2024. This explosive growth has continued into the first half of 2025, which has already seen an additional 26% increase.

This dual approach of debt optimization and strategic market expansion raises questions about its potential impact on shareholder value. While Light & Wonder’s stock currently trades notably below its 52-week high of $117.20, it remains comfortably above its annual low of $69.81.
Looking ahead, the company faces additional significant milestones. A complete transition of its listing to the Australian Securities Exchange (ASX) is scheduled by the end of November 2025, which will coincide with the termination of its NASDAQ listing.
