The watch and accessories manufacturer Fossil faces a defining period with two critical events poised to shape its future trajectory. A decisive creditor vote on debt restructuring and the imminent release of quarterly financial results create a high-stakes scenario for the company.

Financial Performance Under Restructuring Pressure

On November 13, 2025, following market close, Fossil will disclose its third-quarter 2025 earnings. Market observers express divided expectations regarding whether the company can maintain its operational turnaround momentum.

The previous quarter’s results revealed contrasting trends:
* Net revenue declined 16% to $219 million
* Gross margin improved by 480 basis points to 57.4%
* Adjusted net loss narrowed to 10 cents per share (compared to 47 cents year-over-year)

These figures demonstrate that while revenue continues to contract, Fossil has achieved progress in enhancing profitability. The crucial question remains whether these improvements sufficiently address the company’s $324.39 million debt burden.

Debt Restructuring Timeline and Challenges

The focal point of this critical week occurs on Thursday, November 6, 2025, when creditors gather to vote on a restructuring proposal for the $150 million 7.00% Senior Notes maturing November 30, 2026. Voting concludes on Monday, November 3, 2025.

A notable strategic element: votes submitted as early as October 22 automatically count as approvals. This approach appears designed to secure the necessary majority for the plan’s passage.

Should creditors approve the restructuring on November 6, court confirmation follows on November 10. Concurrently, an extended exchange offer remains open until November 10.

However, initial response to the exchange offer revealed significant challenges, achieving only 82.67% participation—clearly missing the required 90% threshold. This shortfall indicates substantial creditor skepticism regarding Fossil’s strategic direction.

Survival Strategy and Future Prospects

Fossil has initiated preliminary measures to stabilize its position, including securing a new $150 million credit facility and extending debt maturities to 2029. These actions aim to provide financial flexibility during this transitional period.

The upcoming week will prove decisive in determining whether creditors and the judicial system endorse management’s proposed path forward. Market participants await clarity on whether Fossil can successfully execute its turnaround or faces existential challenges to its business continuity.
