Shareholder Vote Looms as Plug Power Announces European Milestone

Plug Power Inc. is approaching a pivotal shareholder meeting while simultaneously announcing the completion of a major technical project in Europe. The hydrogen technology company has finished installing a significant electrolyzer facility in Portugal. Concurrently, management is seeking approval to substantially increase the number of authorized shares, placing investors at the crossroads of growth potential and equity dilution.

European Expansion Gains Momentum with Portuguese Project

The company has completed the installation of a 100-megawatt PEM GenEco electrolyzer array at the Galp refinery in Sines, Portugal. This initiative commenced with an initial 10 MW unit in October, and all ten arrays are now in place.

Once operational in the coming months, the facility is expected to:
* Produce up to 15,000 tons of renewable hydrogen annually.
* Displace approximately 20% of the refinery’s previous consumption of grey hydrogen.
* Reduce greenhouse gas emissions by an estimated 110,000 tonnes of CO₂ equivalents per year (Scope 1 and 2).

This achievement demonstrates Plug Power’s capacity to execute large-scale industrial decarbonization projects within the European market.

Liquidity Needs Drive Call for Share Authorization Increase

The immediate focus shifts to an extraordinary general meeting scheduled for January 29. Company leadership is proposing amendments to its charter that would facilitate the issuance of new equity. The central proposal is to double the authorized share capital from 1.5 billion to 3 billion shares.

This move is driven by ongoing liquidity requirements. For the third quarter of 2025, Plug Power reported revenue of $177 million against a net loss of $361 million. The significant cash outflow remains a key challenge, although the firm states it has nearly halved its operational cash burn year-over-year through its “Quantum Leap” cost-reduction initiative.

Management Engages Investors Ahead of Vote

In preparation for the vote, CEO Andy Marsh hosted a Reddit “Ask Me Anything” session on January 22, fielding questions primarily from retail shareholders. The discussion centered on growth initiatives and the rationale behind the proposed financing measures.

Should investors sell immediately? Or is it worth buying Plug Power?

During the live session, the company’s share price surged by more than 16% at one point, though it subsequently gave back a portion of those gains in the following trading days. This volatility underscores market uncertainty regarding the capital raise and the path toward future profitability.

Building on a Global Infrastructure Base

The Sines project forms part of a broader European expansion strategy. Plug Power is planning multi-gigawatt electrolyzer installations in Spain, the United Kingdom, and additional markets. The company estimates a global project pipeline potential of around $2 billion for its electrolyzer business.

Furthermore, Plug Power highlights its established infrastructure, which includes:
* Over 72,000 fuel cell systems deployed worldwide.
* A network of 275 hydrogen fueling stations.
* Hydrogen production plants in Georgia, Tennessee, and Louisiana, with a combined daily production capacity of 40 tons.

This existing foundation is intended to accelerate future project execution and help achieve economies of scale.

Critical Juncture for the Company’s Trajectory

The January 29 vote on expanding the share authorization stands as the near-term critical event for the company. Approval would provide greater financial flexibility for further investment and covering liquidity needs, but it would also set the stage for a noticeable dilution of existing shareholdings.

Following this, the next quarterly report, due in early March, will take center stage. Fresh data on revenue, losses, and cash burn will offer crucial evidence on whether the combination of cost-cutting efforts and the project pipeline is genuinely shortening the journey to profitability.
