DroneShield’s Regulatory Shadow Lingers as Record Orders and a New Leadership Team Try to Rebuild Trust

The counter-drone specialist finds itself in an unusual position: commercially, the pipeline has never looked fuller, yet the share price tells a story of persistent investor caution. At the heart of that disconnect sits an unresolved Australian Securities and Investments Commission (ASIC) probe into disclosures and trading activity dating back to November 2025.

That investigation stems from a wave of insider selling that rocked the company late last year. Three directors offloaded nearly 20 million shares in November — CEO Oleg Vornik sold 14.8 million, Chairman Peter James 3.7 million and director Jethro Marks 1.46 million. The market reaction was brutal: the stock collapsed from A$3.85 to A$2.25, a drop of roughly 31 percent. ASIC has been digging into the matter ever since, and the cleanup has already cost DroneShield A$8.7 million.

Governance Overhaul Follows the Fallout

The boardroom response came swiftly. In February, the company introduced a policy requiring CEO and chairman to obtain board approval before selling shares, with transactions to be reported on the same trading day. Then, on April 8, both Vornik and James stepped down — Angus Bean took over as CEO while Hamish McLennan assumed the chairmanship. Marks, notably, remains on the board despite his involvement in the November sales.

Those governance fixes have done something to steady the ship, but the regulatory overhang persists. In Frankfurt trading, the stock changes hands at around €1.07, up 2.4 percent on the day following a €1.05 close. That leaves the shares roughly 41 percent lower since the start of the year, even with a bounce of about 30 percent off the 52-week low of €0.823 touched in late November. The primary listing in Sydney puts the stock at A$1.08, some 71 percent below its October 1 peak.

Record Revenue Meets Wider Losses

The financial picture is more nuanced than the share price suggests. DroneShield reported record first-half revenue of A$125.8 million, yet swung to a statutory after-tax loss of A$32.2 million alongside an adjusted EBITDA loss of A$12.4 million. That combination of top-line growth and deepening losses has done little to calm nerves.

The balance sheet, however, offers a counterweight. The company ended the half with A$180 million in cash and term deposits and no debt whatsoever — a cushion that should allow it to weather the ASIC probe without operational strain.

Should investors sell immediately? Or is it worth buying DroneShield?

Encouragingly, the recurring revenue engine is gaining traction. Recurring revenue climbed to A$11.5 million in the first half, representing 9.2 percent of total sales compared with roughly 3 percent in the prior-year period. The installed base of software-enabled units has reportedly reached 4,100, underpinning the strategic shift from one-off hardware sales toward more predictable income streams.

Order Book Points to a Strong Second Half

Management has reaffirmed full-year 2026 revenue guidance of A$250 million to A$270 million. As of August 21, committed revenue stood at A$240 million — already covering 89 to 96 percent of the guided range. An additional A$43 million in orders is expected to flow through in 2027 and beyond, providing rare visibility in a sector often characterized by lumpy procurement cycles.

The product pipeline could add further momentum. The RfRecon and RfAI-3 systems, launched in July, are slated to enter series production in the second half, with initial deliveries targeted before year-end. A successful transition from announcement to actual revenue would go some way toward repairing the damage done to the stock’s technical picture — it currently trades about 15 percent below its 50-day moving average.

Institutional Signals Cut Both Ways

On the shareholder front, State Street Corporation has disclosed changes to its voting stake in DroneShield, held through SSGA Europe and State Street Bank. Market watchers tend to read such notifications from large institutional investors as a barometer of confidence among major fund managers in the company’s long-term positioning.

For now, the equation remains delicately balanced. The leadership transition and stricter compliance protocols represent institutional answers to the governance crisis, and the recent trading rebound hints at stabilization. But with the ASIC investigation still open and its costs weighing on the income statement, the insider-selling chapter has yet to reach a definitive close — and until it does, the regulatory question will likely keep overshadowing even the most compelling operational metrics.
