Bayer’s September Crossroads: A Courtroom Verdict and a Crop Science Rebound Converge

The calendar is tightening around Bayer from two directions at once. On September 14, a Missouri courtroom will host a fairness hearing on the $7.25 billion Roundup settlement — a moment that could either cement years of legal de-risking or reopen old wounds. Just days earlier, the company used an investor event for its Crop Science division to sketch out a research pipeline it hopes will eventually loosen the glyphosate stranglehold on its agricultural earnings.

For shareholders, the convergence is hardly coincidental. The same herbicide that has dragged Bayer through costly US litigation is also, for now, driving growth in the very division meant to reduce that dependence.

A Pipeline Built to Outgrow Glyphosate

Crop Science delivered a 3.5 percent revenue increase in the second quarter on a currency- and portfolio-adjusted basis, with EBITDA climbing 6.6 percent. The growth engine, however, remains glyphosate-based herbicides — the active ingredient at the heart of the company’s legal troubles. The newly outlined strategy of pairing seed genetics with crop protection products is designed to shift that mix over time, steering the division toward integrated solutions rather than a single, legally burdened molecule.

The timing matters. Bayer reaffirmed its 2026 guidance alongside its August half-year results, targeting adjusted EBITDA of €9.6 billion to €10.1 billion and core earnings per share between €4.30 and €4.90. Fresh blockbusters from the agricultural research line would provide additional ballast for those figures — and the balance sheet now has more room to fund them. The Apollo agreement lowered Bayer’s net financial debt guidance to €29–30 billion from a prior €32–33 billion, freeing capital for exactly the kind of pipeline investments showcased this week.

The Legal Path Clears, Cautiously

The road to the September 14 hearing looked considerably more obstructed a fortnight ago. The 8th U.S. Circuit Court of Appeals dismissed an appeal from plaintiffs challenging the Roundup settlement, effectively clearing the way for the fairness hearing without immediate risk of another court overturning the framework. Media reports have since characterized the settlement as being on the home stretch — though the hearing itself will determine whether that characterization holds.

Should investors sell immediately? Or is it worth buying Bayer?

A Supreme Court ruling in June had already strengthened Bayer’s position, with justices deciding that federal approval requirements take precedence over state law. Each successive legal victory chips away at the uncertainty that has weighed on the stock’s valuation for years.

A Stock That Has Already Repriced

The market has taken notice. Bayer shares have climbed 71 percent over the past twelve months, a remarkable recovery from the trough of €25.78 reached when legal anxiety was at its peak. Year-to-date, the stock is up 32 percent, placing it among the strongest performers in Germany’s benchmark index. The most recent close of €48.84 on Friday represented a 1.3 percent daily dip, but over the preceding seven trading sessions the shares moved essentially sideways, gaining just 0.2 percent.

Still, the stock sits 9.3 percent below its 52-week high of €53.86, reached in early July. That gap suggests a consolidation phase following the sharp rally — a pause that leaves room for either direction depending on how the legal calendar unfolds.

Analysts See Headroom, With Caveats

UBS reaffirmed its buy recommendation on September 1 with a price target of €62, implying substantial upside from Friday’s close. The gap between the current price and that target likely reflects a risk premium for the unresolved litigation — a discount that would narrow if the settlement receives final approval without complications.

The coming weeks will see investor attention split between two poles: the Missouri courtroom and the question of how quickly the Crop Science pipeline translates into tangible revenue. The next formal checkpoint arrives November 3, when Bayer reports third-quarter results — a moment that will offer a clearer read on whether the operational momentum can hold while the legal saga reaches its denouement.
