Oxford Lane Capital Executes 1-for-5 Reverse Stock Split

Oxford Lane Capital Corp. (NASDAQ: OXLC) has completed a significant corporate action with the implementation of a 1-for-5 reverse stock split. The closed-end investment fund formally executed the consolidation on September 8, following its effective date of September 5.

This corporate restructuring combined every five existing shares into a single new share. The par value per share remains unchanged. Trading on the Nasdaq recommenced on a split-adjusted basis on September 8. The company’s shares continue to trade under the familiar “OXLC” ticker symbol but were assigned a new CUSIP identification number.

Proportional Dividend Adjustment and NAV Estimate

Concurrent with the share consolidation, the company announced a proportional increase to its per-share dividend distributions to maintain equivalent economic value for shareholders. The adjusted monthly dividends are scheduled as follows:

  • September 2025: $0.45 per share (pre-split equivalent: $0.09)
  • October 2025: $0.40 per share (pre-split equivalent: $0.08)
  • November 2025: $0.40 per share (pre-split equivalent: $0.08)
  • December 2025: $0.40 per share (pre-split equivalent: $0.08)

Management also provided a post-split net asset value (NAV) estimate. As of September 8, the unaudited NAV per share is projected to be between $20.02 and $20.22, offering investors a current view of the underlying asset valuation.

Recent Financial Performance and Strategic Rationale

The move follows the company’s latest quarterly results, which presented a mixed financial picture for the period ended June 30, 2025:
* The NAV per share decreased to $4.12 from $4.32 as of March 31, 2025.
* Total investment income saw an increase of approximately $2.8 million quarter-over-quarter.
* Net investment income reached $75.1 million, or $0.16 per share.
* Core net investment income was higher, coming in at $112.4 million, or $0.24 per share.

The board of directors initially approved the reverse split in July 2025. The primary strategic goals are to enhance the stock’s liquidity and appeal to a broader investor base. This action was planned for completion within the company’s fiscal quarter ending September 30, 2025.

Oxford Lane Capital continues its dedicated focus on investments in collateralized loan obligations (CLOs). The reverse split is positioned as a tactical step to improve trading dynamics without altering the company’s core objective of delivering risk-adjusted returns through its specialized investment strategy.

Shareholders holding physical certificates will receive instructions from the transfer agent, Computershare Trust Company, N.A. Those with electronically held shares require no action.
