Western Digital’s Kioxia Merger Revival Raises Hopes, but the Backlog Story Remains the Anchor

Western Digital shares climbed 2.83% on Monday to €428.50, powered by fresh reports that the storage giant has revived merger talks with Japanese memory maker Kioxia. The bounce offers a brief reprieve from a punishing stretch that has seen the stock shed 34.38% over the past 30 days — a decline that, at its worst last week, briefly touched 36.2%. Yet even with the recovery, the equity trades 38.46% below the all-time high of €696.30 set on June 18.

The Kioxia discussions, first reported on July 18, center on a potential combination of the two companies’ flash-memory operations. The deal could take the form of an all-stock merger or a spin-off, creating one of the largest NAND suppliers alongside Samsung, SK Hynix and Micron. Neither Western Digital nor Kioxia has confirmed a transaction value or a timeline, and prior attempts at a tie-up have previously fizzled. The fact that talks are back on the table, however, introduces a strategic wild card for a company already wrestling with textbook boom-and-bust dynamics.

What makes the current sell-off so unusual is the yawning gap between market sentiment and Western Digital’s underlying order book. The company has sold its entire hard-disk drive production capacity for 2026, and long-term supply commitments from hyperscale data-center operators extend through 2028. Three of the five largest hyperscalers have signed multi-year contracts covering 2027 and 2028. Revenue is now 89% hyperscaler cloud, with only 5% coming from consumers — a decisive shift from the commodity storage business of prior years.

That structural transformation is underpinned by a technology roadmap few rivals can match. Western Digital is rolling out heat-assisted magnetic recording (HAMR) drives from late 2026, with initial units offering 36 terabytes in conventional format and 44 TB in shingled UltraSMR mode. Qualification is under way at two hyperscale clients, and series production is slated for 2027. The current ePMR platform is being scaled to 60 TB, while HAMR is expected to hit 100 TB by 2029. In the second fiscal quarter alone, Western Digital shipped more than 3.5 million ePMR units, delivering 215 exabytes of capacity — a 22% year-on-year increase.

Should investors sell immediately? Or is it worth buying Western Digital?

The tension between this rosy operational picture and a stock that has cratered is rooted in a chain reaction that began on July 13. That day, SK Hynix shares in Seoul tumbled more than 15% after Korea Investment & Securities cut its second-quarter profit estimate by roughly 8%. The shockwave rippled through U.S. chip and memory names, including Western Digital, triggering what would become a month-long rout. The speed of the slide has been breathtaking: the 30-day annualized volatility stands at more than 107%, and the 14-day relative strength index has dipped to 38.7, flirting with oversold territory.

Analysts are split on what happens next. The consensus price target of €551.67 implies roughly 29% upside from Monday’s close, yet the range is unusually wide. At the cautious end, UBS lifted its target to $560 but kept a “Neutral” rating, warning that the earlier rally had already priced in many positive developments. More bullish voices include Citi at $800 and Melius Research at $1,050. With a price-to-earnings multiple of 54.21, the stock is undeniably expensive even against strong multi-year fundamentals, and elevated short interest adds to the downside risk should momentum shift further.

Technically, the stock sits 12.13% below its 50-day moving average but still 55.88% above the 200-day line — a split that underscores how much of the move happened in a compressed window. The distance from the 200-day average, though, also suggests that the longer-term trend remains intact for now.

Investors will get a clearer picture on August 5, when Western Digital reports fourth-quarter and full-year fiscal 2026 results after the bell. The conference call at 1:30 p.m. Pacific time will be the first opportunity for management to address both the Kioxia rumors and the sustainability of hyperscaler demand. Whether the merger talks gain substance or, as in past years, lose momentum, the outcome will be pivotal for a stock caught between a fully booked future and a market that has lost its patience.
