PayPal’s $53 Billion Takeover Drama and the Restructuring Behind Its S&P 500-Leading Rally

PayPal has become the epicenter of a rare collision between a turnaround story and a blockbuster M&A play, lifting its shares more than 33% in the past 30 trading days — the strongest such run in the entire S&P 500. Behind that surge lie two distinct forces: a restructuring drive under a new chief executive and a $53 billion takeover bid from Stripe and Advent International that the board has already signaled may be too low.

The offer, valuing PayPal at $60.50 per share, was submitted in early July after initial contact between the parties in April, according to Reuters. The consortium, which also includes Jack Dorsey’s Block, plans to finance the deal with roughly $50 billion in bank debt arranged by JPMorgan and Morgan Stanley, plus $17 billion in equity. A combined entity would process an estimated $3.7 trillion in annual transaction volume — Stripe handled $1.9 trillion last year (up 34%), while PayPal processed $1.79 trillion (up just 7%).

PayPal’s board is set to meet on July 20 to discuss its response. While management has described the offer as insufficient, citing regulatory hurdles and financing concerns, the door to further negotiations remains open. One analyst at William Blair has suggested a bid of up to $70 per share is plausible.

The stock closed Friday at €49.45, up 18.1% in seven trading sessions as speculation mounts that a higher offer will materialize. Even so, the shares trade roughly 30% below their 52-week high of €70.78 reached in October 2025 — a stark reminder of how far the company has fallen from its $360 billion market capitalization in 2021, now worth about an eighth of that.

What the takeover narrative alone doesn’t capture is the operational overhaul underway since Enrique Lores took the helm in early 2026. Lores has launched a $1.5 billion cost-cutting program aimed at expanding operating margins and reducing transaction costs — a pivot that the market began rewarding well before the M&A rumors surfaced. The company generated $6.4 billion in free cash flow last year and sits on $13.5 billion in cash, providing ammunition for the argument that PayPal is worth more than the current bid.

Should investors sell immediately? Or is it worth buying PayPal?

The near-term technical picture, however, looks stretched. PayPal’s relative strength index stands at 79.7, deep in overbought territory, and the stock trades more than 26% above its 50-day moving average. Such extremes often precede a pullback, but the broader trend remains fundamentally supported if the core improvements — from margin expansion to growth at Venmo, whose revenue rose 20% — continue to meet or beat expectations.

For Stripe, the strategic logic extends well beyond market share. The payments upstart has been building a stablecoin ecosystem, acquiring Bridge for $1.1 billion, investing in Privy, and developing the Tempo blockchain. A merger would give Stripe access to Venmo’s 67 million monthly active users and PayPal’s own stablecoin, PYUSD, which was integrated onto the Polygon blockchain in early July. Such a combination could allow the merged entity to bypass traditional card networks like Visa and Mastercard — a prize that helps explain the premium Stripe is willing to pay.

Yet the board’s hesitation also reflects the risk of selling too early in a restructuring that may have further to run. PayPal counts more than 430 million customer accounts, and Lores has emphasized a “platformization” strategy that bundles payment processing with value-added services. If those efforts lift transaction margins and accelerate revenue growth, the intrinsic value could climb well beyond $60.50. The leverage that a combined Stripe-PayPal would hold over merchants and networks also invites a closer look from antitrust regulators — a factor the board has already flagged.

The coming days will test whether Stripe and Advent return with a sweeter offer or whether PayPal proceeds alone under Lores’ plan. Either way, the 30-day momentum that catapulted PayPal to the top of the S&P 500 reflects not just takeover speculation but a broader recognition that the company is emerging from a years-long funk. How durable that recognition proves depends on whether the cost cuts translate into sustained growth — and whether the board’s bet that PayPal is worth more turns out to be correct.
