Ferrexpo’s Two-Front War: A Cash Crunch Collides With an International Arbitration Gambit

The investment case for Ferrexpo has stopped being about iron ore. The London-listed pellet producer now finds itself squeezed between a liquidity crisis measured in weeks and a legal confrontation with the Ukrainian state that could determine whether shareholders recover anything at all.

Management’s own guidance is stark: available cash covers operations only until the end of August. The board is pushing ahead with a capital raise of at least $100 million, pitched as the bridge that would keep a reduced operation running for 18 months. But the company is trying to fill that hole with one hand while fighting off insolvency proceedings, asset freezes, and a mounting list of state actions it calls discriminatory — a combination that makes fresh investment anything but straightforward.

The Arbitration Escalation

The most significant development is jurisdictional. Ferrexpo has formally notified Ukraine of potential claims under bilateral investment treaties with the UK and Switzerland, signaling that it no longer expects a fair hearing in Ukrainian courts alone. The move follows a series of state measures: share freezes, the seizure of railway infrastructure, and attempts to transfer corporate rights to ARMA, the state asset management agency.

The company maintains these actions bear no legitimate connection to the ongoing proceedings against its former majority shareholder, Kostyantin Zhevago. For investors, the implication is stark: the equity is no longer a play on mining logistics and pellet premiums, but a legal option on damages — a bet that international arbitration or diplomatic pressure can force Kyiv to back down before de facto nationalization takes hold.

Cash Burns While Courts Move

The financial picture deteriorated sharply over the summer. With Black Sea ports around Odessa blocked, Ferrexpo suspended operations at its Poltava mine and lost access to its primary export route. In late July, the company also lost a vessel carrying 55,000 tonnes of high-grade DR pellets. Combined with roughly 90,000 tonnes of inventory, the production and delivery value at stake is around $20 million. Insurance claims have been filed, but the timing and size of any recovery remain uncertain.

Meanwhile, the iron ore price has slipped below $98 per tonne, according to analysts at GMK Center, compressing margins on the limited volumes Ferrexpo can still move by rail and river into Europe.

The cash position is further strained by a blocked VAT refund. Ukrainian authorities have yet to return more than $90 million in value-added tax that Ferrexpo says it is owed — money that would go a long way toward stabilizing working capital if it ever materialized.

Insolvency Proceedings at the Core

The legal threat to the operating business has not receded. PJSC Ferrexpo Poltava Mining, the group’s central operating subsidiary, remains subject to insolvency proceedings triggered by a disputed guarantee claim of 4.7 billion Ukrainian hryvnia. The Supreme Court had previously suspended enforcement of certain claims, yet a local court in Poltava appointed an insolvency administrator anyway. An appeal was scheduled for late July in Kharkiv, but the administrator remains in place for now.

Ferrexpo dismisses the underlying claim as a “paper debt” that even the highest court has viewed with skepticism. The fact that local proceedings continue regardless does little to reassure international investors that the rule of law will protect their capital — and it makes securing bank financing or offering credible guarantees to new backers nearly impossible.

The Founder’s Shadow

The group’s difficulties are compounded by the legal entanglements surrounding Zhevago. Ferrexpo insists on its independence, noting that its operating subsidiaries are wholly owned by the Swiss parent. Yet the company keeps getting pulled into Ukraine’s corruption investigations. Most recently, a former Supreme Court official involved in a related bribery case pleaded guilty, keeping the company’s name in the headlines for all the wrong reasons.

A separate dispute before the London High Court concerns the beneficial ownership of entities attributed to the Zhevago family. The web of overlapping proceedings has made it effectively impossible for Ferrexpo to produce audited financial statements — which is precisely why trading in its shares has been suspended on the London Stock Exchange since May 1, 2026. Index provider Solactive removed the stock from its benchmarks on July 29, 2026, at a price of zero, after the suspension stretched past 60 days.

A Race Against the Calendar

The trading halt offers some protection against a disorderly markdown, but it also underscores how deep the crisis runs. Ferrexpo continues to show operational resilience — keeping part of its production running despite energy shortages and wartime restrictions — yet the operation of a single pellet plant is secondary to the existential threat posed by the Ukrainian legal system.

The company itself warns of “significant negative consequences” if the capital raise fails or Black Sea logistics do not improve. The weeks remaining until the end of August will determine whether Ferrexpo closes its financing gap in time. For now, shareholders are left holding a highly speculative position: a claim on international investment law, a disputed insolvency in Poltava, and a $100 million rescue that has yet to find its backers.
